3.3 No Guaranteed Results

  • We do not guarantee specific revenue outcomes

  • Results depend on market conditions, execution, and client cooperation

4. Client Responsibilities

Clients agree to:

  • Provide accurate and timely information

  • Provide necessary access (CRM, ad accounts, systems, etc.)

  • Cooperate during implementation

  • Use systems ethically and legally

Delays in cooperation may impact delivery timelines.

5. Payments & Fees

  • All fees are agreed upon before project initiation

  • Payments are due as per invoice terms

  • Late payments may result in suspension of Services

  • Fees are non-refundable unless otherwise stated in writing

Custom projects may require milestone-based payments.

6. Intellectual Property

6.1 Ownership

  • Pre-existing intellectual property remains the property of its original owner

  • Custom automation frameworks developed by Udyog Connect remain our intellectual property unless otherwise agreed

6.2 Client Data

All business data, branding, and proprietary information provided by the client remains the client’s property.

7. Confidentiality

Both parties agree to:

  • Maintain confidentiality of proprietary information

  • Not disclose sensitive business information without consent

  • Use confidential data only for project-related purposes

8. Data & Privacy

We implement reasonable security measures to protect client data. However:

  • We are not responsible for third-party platform breaches

  • Clients are responsible for securing their own credentials

Use of our website is also governed by our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Udyog Connect shall not be liable for indirect, incidental, or consequential damages

  • Our total liability shall not exceed the amount paid for the Services in the preceding 3 months

This includes loss of revenue, business interruption, or data loss.

10. Third-Party Tools & Platforms

Our Services may integrate with:

  • CRM platforms

  • Advertising platforms

  • Payment gateways

  • Cloud services

We are not responsible for changes, outages, or policy changes by third-party providers.

11. Termination

We reserve the right to suspend or terminate Services if:

  • Client violates these Terms

  • Client engages in illegal or unethical business practices

  • Payments are significantly overdue

Clients may terminate ongoing services subject to agreed notice periods.

12. Indemnification

Clients agree to indemnify and hold harmless Udyog Connect from claims arising from:

  • Misuse of Services

  • Violation of laws

  • Unauthorized system modifications

13. Modifications to Terms

We may update these Terms periodically. Continued use of Services constitutes acceptance of updated Terms.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any disputes shall be subject to the jurisdiction of courts located in Jaipur.
